SUMMARY

You will provide legal support on a global level across all Academic & Professional Learning divisions.

  • Review, draft and negotiate template and non-templated agreements and related documents across all Wiley businesses. Contracts cover a wide range of commercial transactions including distribution, publishing, technology and licensing agreements in the US and Europe for varying dollar amounts.
  • Conduct due diligence on acquisitions and draft and negotiate related agreements.
  • Research and provide legal advice to support business operations on a wide variety of contract, intellectual property, corporate and privacy issues.
  • Support compliance with contract workflows and legal guidelines by developing and delivering educational and training materials to clients and developing and maintaining contracts playbooks.
  • Develop template agreements and workflows for legal processes for existing or new products and services and as needed.
  • Research and respond to pre-litigation dispute correspondence.
  • Identify and manage risk for assigned businesses and product offerings.
  • Assume responsibility for servicing all legal needs of assigned businesses.

We are looking for people who:

  • J.D. or LLM with NY or NJ bar admission
  • 6+ years combined experience: 3 yrs. law firm experience, plus 3 yrs. of drafting contracts for commercial transactions
  • Strong organizational skills
  • Negotiation and influence
  • Simplify the complex (big picture)
  • Advanced business acumen
  • Contract drafting skills (intermediate), Commercial Transactions with a focus on IP
  • Strong Proficiency with Microsoft Office and other collaborative platforms
  • Ability to work under tight deadlines and prioritize responsibilities
  • Ability to maintain and handle confidential information
  • Ability to work independently and effectively in a fast-paced environment with a high volume of agreements
